Agreement to Terms

Eligibility and Account Registration
Membership Eligibility
The Service is intended exclusively for representatives of small to mid-sized health charities registered and operating in the United Kingdom. To be eligible for membership, you must:
- Be at least 18 years of age
- Represent a health charity registered with the Charity Commission for England and Wales, the Scottish Charity Regulator (OSCR), or the Charity Commission for Northern Ireland
- Have the authority to bind your organisation to these Terms
- Provide accurate and complete information during the application process
We reserve the right to refuse membership to any applicant at our sole discretion, in accordance with our commitment to maintaining an exclusive community of ethical health charities.
Account Registration and Security
To access members-only features, you must create an account through our authentication system. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate and current
- Maintain the security and confidentiality of your account credentials
- Notify us immediately of any unauthorised use of your account or any other breach of security
- Accept responsibility for all activities that occur under your account
You are solely responsible for any activity on your account, whether or not authorised by you. We are not liable for any loss or damage arising from your failure to maintain account security.
Acceptable Use and Community Standards
Permitted Use
You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in a manner consistent with the ethical principles and professional standards expected within the charitable sector.
Prohibited Conduct
You agree not to:
- Violate Laws or Rights: Use the Service in any manner that violates any applicable national, European, or international law, regulation, or legal requirement, or that infringes upon the intellectual property rights, privacy rights, or other rights of any third party.
- Misrepresent Identity: Impersonate any person or entity, falsely state or otherwise misrepresent your affiliation with a person or entity, or provide false information about your organisation or credentials.
- Harass or Abuse: Engage in conduct that is defamatory, obscene, threatening, harassing, abusive, hateful, or otherwise objectionable, or that could harm, threaten, or intimidate any person.
- Spam or Solicit: Use the Service to send unsolicited commercial communications, spam, chain letters, or pyramid schemes, or to solicit members for commercial purposes unrelated to the mission of GAIGNetwork.
- Interfere with Service: Interfere with, disrupt, or create an undue burden on the Service or the networks or services connected to the Service, including through the use of viruses, bots, worms, or other malicious code.
Intellectual Property Rights
Our Intellectual Property
The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, design, and the selection and arrangement thereof) are owned by GAIGNetwork, our licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service strictly in accordance with these Terms. This licence does not include any right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from the Service.
User-Generated Content
You retain ownership of any intellectual property rights in content that you post to the Service ("User Content"). However, by posting User Content, you grant GAIGNetwork a worldwide, non-exclusive, royalty-free, perpetual, irrevocable licence to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with operating and promoting the Service.
You represent and warrant that:
- You own or have obtained all necessary rights, licences, consents, and permissions to post your User Content and to grant the licence set forth above
- Your User Content does not infringe, violate, or misappropriate any third party's intellectual property rights, privacy rights, or other proprietary rights
- Your User Content complies with these Terms and all applicable laws

GAIGNETWORK, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, THAT ANY ERRORS OR DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAIGNETWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.
The limitations set forth in this section shall not apply to liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
Dispute Resolution and Governing Law
Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
Jurisdiction
Subject to the arbitration provisions below, you agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales. You consent to the personal jurisdiction of such courts and waive any objection as to inconvenient forum.
Informal Resolution
Before initiating any formal dispute resolution proceedings, you agree to first contact us and attempt to resolve the dispute informally by sending written notice to the contact details provided in the "Contact Us" section. The notice must include your name, contact information, a description of the dispute, and the relief sought. We will attempt to resolve the dispute informally by contacting you via email or other means.
If we cannot resolve the dispute within 60 days of receiving your notice, either party may initiate formal proceedings.
Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes to these Terms, we will provide at least 30 days' notice prior to any new terms taking effect by posting a notice on our website, sending you an email notification, or by other means.
What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, you must stop using the Service.
